Terms of Service

These Terms of Service ("Terms") govern your use of the CreditGate application ("the App") provided by NerdLabs ("we," "us," or "our"). By installing or using CreditGate, you agree to these Terms.

1. Service Description

CreditGate is a Shopify application that provides wholesale account approvals, credit-limit management, purchase-order enforcement, sales-rep ordering, and audit logging for Shopify B2B merchants. The App integrates with Shopify Companies, Customers, Orders, and Draft Orders to apply the controls you configure for your wholesale channel.

2. Account and Eligibility

• You must have an active Shopify store with B2B functionality to use CreditGate.
• You must have the authority to grant CreditGate access to your Shopify store and to manage your wholesale accounts.
• You are responsible for the credit limits, PO rules, and approval decisions you configure and make.
• You are responsible for maintaining the security of your account and any sales-rep portal credentials you issue.

3. Pricing and Billing

• CreditGate is offered as a paid subscription, billed through Shopify's billing system. Pricing starts from $199 per month; final pricing will be confirmed at launch.
• You may cancel at any time through your Shopify admin. Cancellation takes effect at the end of the current billing period.
• We reserve the right to change pricing with 30 days' notice.

4. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose
• Attempt to reverse engineer, decompile, or extract source code from the App
• Use automated systems to scrape or extract data from the App beyond normal use
• Resell, sublicense, or redistribute access to the App
• Interfere with or disrupt the App's infrastructure

5. Data and Privacy

Your use of CreditGate is also governed by our Privacy Policy. By using the App, you consent to the collection and use of data as described therein.

You retain ownership of all your store and wholesale account data. We claim no ownership rights over your data.

6. Third-Party Integrations

CreditGate integrates with Shopify's platform and APIs. Your use of these integrations is also subject to:

We are not responsible for the availability, accuracy, or policies of third-party services.

7. Your Responsibility for Decisions

CreditGate is a tool that enforces the rules you define. While we strive for accuracy:

• Credit-exposure calculations depend on the accuracy of the data in your Shopify store and the limits you configure.
• The App provides operational controls and records, not credit, legal, tax, or accounting advice.
• You are solely responsible for the credit you extend, the accounts you approve, and the business decisions you make using the App.

8. Limitation of Liability

To the maximum extent permitted by law:

• CreditGate is provided "as is" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability shall not exceed the amount you paid for the App in the 12 months preceding the claim.
• We are not liable for credit, approval, or business decisions made using the App, including any losses arising from credit extended to your wholesale accounts.

9. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience outages. We will make reasonable efforts to notify you of planned downtime.

10. Termination

• You may terminate your use at any time by uninstalling the App from your Shopify store.
• We may suspend or terminate your access if you violate these Terms.
• Upon termination, your data will be deleted within 30 days per our Privacy Policy.

11. Changes to Terms

We may update these Terms from time to time. Continued use of the App after changes constitutes acceptance. We will notify you of material changes via the App or email.

12. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through good-faith negotiation first, then binding arbitration if necessary.
